API Licence Agreement

Terms and Conditions for API use — please read carefully before accessing the Mastdata API.

1. Important — Please Read

0.1

This API License Agreement ("Agreement") is a legally binding contract between you, as Licensee, and Mastdata and applies to your use of the Mastdata API and Resources available through mastdata.com. If you do not agree to be bound by the terms and conditions of this Agreement, please do not proceed with the use of our Service or the API. This Agreement becomes effective as of the date you first access, download or use the API.

YOU ARE ENTERING A LEGALLY BINDING CONTRACT: BY COPYING, DOWNLOADING, OR OTHERWISE USING THE MASTDATA API YOU ARE EXPRESSLY AGREEING TO BE BOUND BY ALL TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, YOU ARE NOT AUTHORIZED TO COPY, DOWNLOAD, INSTALL OR OTHERWISE USE THE MASTDATA API.

2. Licences and Restrictions

1.1

API Licence. Subject to the terms and conditions of this Agreement, Mastdata grants to you a non-exclusive, non-transferable, non-sublicenseable, limited licence to use the Application Programming Interface solely in accordance with the terms of this Agreement.

1.1.1

Access the Mastdata Resources and use API certificate only in the manner provided by Mastdata. Resources may include but are not limited to resources for customers, invoices, payment cards, subscriptions, transactions, block lists, disputes, layouts, plans, authorisation options, credentials, and tokens.

1.1.2

Use the API as necessary to conduct your business.

1.1.3

Execute transactions using the Mastdata Service.

1.1.4

Abide by the terms of Mastdata's Terms of Use.

1.2

To enable your Permitted Use, Mastdata will provide you with a confidential identification code, Certificate, and User ID. The User ID will remain the property of Mastdata and may be revoked or terminated by Mastdata immediately if you fail to keep it confidential, if compromised in any way, or if you use the Program in any manner not expressly permitted under this Agreement.

1.3

General Licence Conditions and Restrictions. You agree that you will neither use the Resources or the Program in any way not expressly permitted under this Agreement, nor use any alternative means such as robots, spiders, scraping or other technology to access, query, or use mastdata.com or any other Mastdata web site, Resources, or Program to obtain any information, other than as provided by Mastdata pursuant to this Agreement.

1.4

Restrictions and Conditions on Use. You agree that you shall not use the Program or Resources in any manner that would permit the disclosure of the Program or Resources to anyone other than your employees or Third Party Service Providers, or enable the Program to be used in any location other than your Site (unless Mastdata has otherwise agreed in writing).

1.4.01

Specific Prohibitions: You shall not sell, transfer, sublicence, or disclose your User ID to any third party; and you shall not modify, decompile or otherwise alter the Program or Resources.

3. Intellectual Property

2.1

Resources and IP Ownership. As between Mastdata and You, Mastdata retains all rights, title and interest in and to all intellectual property rights embodied in or associated with the Program, Mastdata Resources, Mastdata Site and any and all Mastdata Services, technology and any content created or derived there from. This Agreement does not create any implied licences and Mastdata expressly reserves all rights not expressly granted to you.

2.2

No Sublicensing. Any licence rights granted hereunder are granted exclusively to you and may not be sublicensed, transferred or assigned.

2.3

Trademark Ownership. Mastdata owns all of its trademarks and service marks, including its logo. While this Agreement remains in effect you are granted a limited right to display the Mastdata Marks on your site. Mastdata may revoke this limited grant at any time and for any reason.

2.4

If your application or report displays data that is not hosted within the mastdata.com web domain, you must display the wording "Powered by mastdata.com" with that data in a similar font size to the data.

2.5

Uptime; Rate Limiting. Mastdata does not guarantee that the Mastdata Site or the Mastdata Resources will be available twenty-four hours a day. Mastdata further reserves the right to limit the rate and usage of its Resources as it deems appropriate.

4. Term and Termination

3.1

Termination. Mastdata reserves the right to terminate this Agreement at any time and for any reason in its sole and exclusive discretion. Mastdata will endeavour to provide advanced notice of any termination unless impracticable or unreasonable under the circumstances.

3.2

Survival. Notwithstanding termination of this Agreement, the following Sections will survive and remain binding: General Licence Conditions and Restrictions, Restrictions and Conditions of Use, Intellectual Property, Representations and Warranties, Confidential Information, Limitation of Liability, Indemnification, and General.

3.3

Effects of Termination. Upon termination of this Agreement, your User ID will be revoked and all licences granted pursuant to this Agreement will immediately terminate unless such licences are expressly stated as surviving.

5. Security and Stability

4.1

Mastdata reserves the right to change the method of access to the Program and/or Resources at any time to ensure the safety and security of its environment. In the event of degradation or instability of Mastdata's systems or in an emergency, Mastdata may, in its sole and absolute discretion, temporarily suspend your access to the Program and/or Resources in order to minimise threats to and protect the operational stability and security of the Mastdata system.

6. Third Party Products

5.1

The Service may provide you with access to, be integrated with, or contain links or references to, products, services, data, information, sites or other materials which are provided or operated by third parties. In such cases, Mastdata only provides API services for connecting these Third Party Products to the Service provided by Mastdata — not the Third Party Product itself.

5.2

Any exchange of data between you and any third-party provider of a Third Party Product is solely between you and the applicable third-party provider. Mastdata shall not be held liable for any loss or damage in connection with the data we provide to such third parties.

7. Pricing

6.1

Sample Pricing: LoS calculations are £0.50 per mast and £0.01 per calculation. A 7km radius LoS calculation would therefore be approximately £1.53, and a 10km calculation would be £3.14.

6.2

Bulk discounts are available on precompiled and existing data.

8. Disclaimer of Warranties

7.1

YOU ACKNOWLEDGE AND AGREE THAT YOUR ACCESS TO THE RESOURCES AND YOUR USE OF THE API IS PROVIDED HEREUNDER ON AN "AS IS" BASIS WITHOUT WARRANTY OF ANY KIND. MASTDATA DISCLAIMS ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. MASTDATA DOES NOT REPRESENT OR WARRANT THAT THE MASTDATA SITE SHALL OPERATE SECURELY OR WITHOUT INTERRUPTION.

9. Your Representations and Warranties

8.1

You represent and warrant that you will comply with all laws and regulations applicable to your products and/or services, including the promotion and marketing thereof, in every jurisdiction in which your products and/or services are delivered or offered.

10. Confidential Information

9.1

Mastdata may from time-to-time disclose to you information that is marked "Confidential" that contains proprietary information for your sole use in relation to this Agreement. All such information shall be considered "Confidential Information." In addition, the terms of this Agreement, Mastdata Resources, the Program, and your User ID shall be deemed Confidential Information.

9.2

You agree to keep and hold Mastdata's Confidential Information in confidence and not disclose such Confidential Information to third parties nor use Mastdata's Confidential Information for any purpose other than as required to perform under this Agreement.

9.3

MASTDATA SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OR LOST PROFITS (HOWEVER ARISING, INCLUDING NEGLIGENCE, BREACH OF CONTRACT, BREACH OF WARRANTY, OR ANY OTHER FORM OF ACTION) ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, EVEN IF MASTDATA IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Data Protection

10.1

Privacy: Please read our Privacy Policy for more information about how we collect and use personal information about you when you use and interact with the Mastdata Service.

10.2

Mastdata Data: Notwithstanding anything to the contrary in the Agreement, Mastdata shall have a right to use data relating to and/or obtained in connection with the operation, support and/or use of the Service for its legitimate internal business purposes, such as billing, account management, technical support, product development and sales and marketing.

12. Indemnification

11.1

You agree to indemnify Mastdata against any and all claims, losses, liabilities, costs and expenses, including reasonable attorneys' fees, which Mastdata may incur as a result of any third party actions arising from or relating to your or Third Party Service Provider's use of the Program, the Mastdata Resources, Services or Technology in excess of the rights granted hereunder.

13. General

12.1

Publicity. You agree not to make any public statement regarding the terms of this Agreement, any aspect thereof, or the Program without Mastdata's prior written approval.

12.2

Independent Contractors. This Agreement does not create a joint venture between the parties, or the relationship of employer-employee, partners, principal-agent or the like.

12.3

No Assignment. You may not assign your rights nor delegate your duties under this Agreement without Mastdata's prior written consent.

12.4

Severability. If any provision of this Agreement is ever held to be invalid or unenforceable for any reason, the remaining provisions shall continue in full force and effect.

12.6

Entire Agreement; Waiver. This Agreement sets forth the entire understanding and agreement of the parties regarding the Program and Resources. The waiver by Mastdata of a breach of any provision shall not operate as a waiver of any other or subsequent breach.

21.5

Notice. Any notice under this Agreement shall be in writing and delivered by personal delivery, overnight courier, confirmed facsimile, confirmed e-mail, or certified or registered mail, and shall be deemed given upon personal delivery, one day after deposit with an overnight courier, five days after deposit in the mail, or upon confirmation of receipt of facsimile or e-mail.
